Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website at getzapphire.com and the Zapphire software system (together, the "Platform"). The Platform is operated by Jarrod Wright (sole trader) ("Zapphire", "we", "us", "our"). By using the Platform or joining our waitlist, you agree to these Terms. If you do not agree, please do not use the Platform.

1. About Zapphire

Zapphire is a software system for independent businesses. It is one system, made available to every customer, and each customer runs their own private, isolated deployment of it. We operate, improve, and secure the system on an ongoing basis as part of a subscription. We are currently in a limited release: parts of the Platform are available today, and others are being prepared for wider availability. We will make clear which is which as we bring new businesses on board.

2. Eligibility

The Platform is intended for businesses and for people who are at least 18 years old and able to enter into a contract. By using the Platform you confirm that you meet these requirements and that any information you give us is accurate.

3. The waitlist

You can join our waitlist by giving us your email address. We use it to contact you about early access, availability, and Zapphire news. You can ask us to remove you at any time by emailing hello@getzapphire.com, and every message we send will include a way to opt out. How we handle your information is set out in our Privacy Policy.

4. Subscriptions and access

When you subscribe, we make the system available to you as your own private deployment. Access is provided for the subscription period you commit to, under the plan and any written order or agreement that applies to you. Where that agreement and these Terms differ, the agreement governs. Subscription terms, pricing, and availability may change, and we will give reasonable notice of material changes.

5. Your data and outputs

Your data and the outputs the system produces for you remain yours. We operate the system on your behalf: you access it, and we run, improve, and secure it. Your deployment is isolated from other customers. If your access ends, your data and outputs remain yours, and operation of your deployment concludes at the end of the agreed period. Our Privacy Policy explains how we handle information.

6. Acceptable use

You agree to use the Platform lawfully and not to misuse it. You will not attempt to interfere with the Platform, gain unauthorised access to it, disrupt other customers, introduce harmful code, scrape it at scale, resell access to it, or use it to break the law or infringe the rights of others. We may suspend or end access that puts the Platform or its customers at risk.

7. Our intellectual property

The Platform, including the Zapphire software system, its underlying technology, its design, and the Zapphire name and marks, belongs to us or our licensors and is protected by law. Subscribing gives you a limited, personal, non-transferable right to access and use your deployment for your own business. It does not transfer ownership of the system or any part of it. You may not copy, modify, resell, or create derivative works from the Platform without our written permission.

8. Links to other sites

The Platform may link to third-party websites, such as professional networking profiles. We do not control those sites and are not responsible for their content or practices. Visiting them is at your own discretion, under their terms.

9. Privacy

Our Privacy Policy explains how we collect, use, and protect information. By using the Platform you agree to the practices described there.

10. Availability and changes

While we are in limited release, the Platform is provided on an "as is" and "as available" basis. We work hard to keep it reliable and secure, and beyond what the law requires we do not warrant that it will be uninterrupted, error free, or fit for a particular purpose. We improve the system continuously, so features may change over time.

11. Limitation of liability

To the fullest extent permitted by law, Zapphire will not be liable for any indirect, incidental, special, or consequential loss, or for any loss of profits, revenue, data, or goodwill, arising from your use of the Platform. To the fullest extent permitted by law, our total liability for any claim relating to the Platform is limited to the greater of the amount you paid us in the three months before the claim, or one hundred US dollars. Nothing in these Terms limits any liability that cannot be limited by law.

12. Indemnity

You agree to cover reasonable losses we incur if they arise from your misuse of the Platform or your breach of these Terms, to the extent permitted by law.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date above and, where appropriate, give additional notice. Continued use of the Platform after changes take effect means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules. You agree that any dispute relating to these Terms or the Platform will be brought in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.
